Terms of Service

These Terms of Service (“Terms”) govern your use of the Foamlane platform — the foamlane.app website, the Foamlane mobile and web app, and any related services (collectively, “Foamlane” or the “Service”). Foamlane is operated by Jonathan Fasano, a sole proprietor based in New York, USA (“we,” “us,” “our”).

By creating an account, paying for a subscription, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use Foamlane

You must be at least 18 years old and a resident of the United States to create a Foamlane account. By creating an account, you confirm that the business information you provide is accurate, that you operate a legitimate business, and that you have the authority to bind that business to these Terms.

2. The Service

Foamlane is a business management platform designed for solo mobile auto detailers. The Service includes customer management, quoting, scheduling, payment links via Stripe, SMS messaging via Twilio, photo galleries, and other features as they are released. Feature availability may change over time. We may modify, suspend, or discontinue any part of the Service, with reasonable notice for material changes.

3. Your account

You are responsible for the security of your account credentials, for all activity that occurs under your account, and for the accuracy of the information you provide. Notify us promptly if you suspect unauthorized access by emailing support@foamlane.app.

You agree to use Foamlane only for legitimate business purposes and to comply with all applicable laws and regulations, including telecommunications, payment, consumer protection, and privacy laws.

4. Subscription and payment

Foamlane is a paid subscription service. The current price is $29.99 USD per month, or the discounted annual equivalent, billed in advance. Subscription fees are non-refundable except where required by law. We may change prices with at least 30 days’ notice.

Payment processing for subscriptions is handled by Stripe. By subscribing, you also agree to Stripe’s terms.

5. Customer payments (Stripe Connect)

If you connect a Stripe account to Foamlane to accept payments from your own customers, those payments flow directly between you and your customer through Stripe Connect. Foamlane does not hold these funds and does not take a percentage of customer transactions. Stripe’s standard processing fees apply.

6. SMS messages and your customers

Foamlane provides SMS messaging capabilities so you can communicate with your customers. You are solely responsible for ensuring you have obtained your customers’ consent to receive SMS messages from your business in compliance with the Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles and Best Practices, the A2P 10DLC rules, and any other applicable law.

By using Foamlane to send SMS, you confirm and agree that:

You have obtained your customer’s express prior consent before adding their phone number to Foamlane and before sending any messages.
You will only use Foamlane to send communications that are directly related to your services to that customer (for example, quotes, invoices, scheduling notifications, photos, and review requests).
You will not use Foamlane to send spam, unsolicited marketing, or content that violates carrier rules (10DLC), Twilio’s acceptable-use policy, or applicable law.
You acknowledge that every Foamlane SMS includes a “Reply STOP to opt out” footer and that opt-out requests by your customers will be honored automatically.
You will not attempt to remove, edit, or evade the opt-out footer or the business-identification fields in message templates.

Violations of this section may result in suspension or termination of your account, without refund, in addition to any other remedies available to us under these Terms or applicable law.

7. Your customers’ data

When you add customer information to Foamlane — names, phone numbers, addresses, vehicle info, photos — you confirm that you have the legal right to do so and to share that information with Foamlane for the purpose of operating your business.

You are the data controller of your customer information; Foamlane is a data processor acting on your behalf. You agree to maintain a privacy practice that complies with applicable law and to honor your customers’ privacy rights.

8. Acceptable use

You agree not to:

Use the Service for any illegal activity.
Send spam, unsolicited communications, or content that violates TCPA, CAN-SPAM, or other applicable laws.
Upload content that infringes on third-party intellectual property.
Attempt to gain unauthorized access to the Service, other accounts, or the underlying infrastructure.
Reverse engineer, decompile, or scrape the Service.
Resell, sublicense, or otherwise commercialize the Service without our written permission.
Use the Service in any way that could damage, disable, or impair the Service or interfere with another user’s use.

9. Intellectual property

The Foamlane name, logo, software, and all associated content are the property of Foamlane and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes during the term of your subscription. You retain ownership of the content you upload (customer info, photos, etc.); you grant Foamlane the rights necessary to process, store, and display that content as needed to operate the Service.

10. Termination

You may cancel your subscription at any time from your account settings. Your access continues through the end of your current billing period.

We may suspend or terminate your account at any time, with or without notice, if you violate these Terms, if we are required to by law, or if continuing to provide the Service would expose Foamlane to legal or regulatory risk. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and dispute resolution — will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOAMLANE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FOAMLANE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. FOAMLANE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOAMLANE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD.

13. Indemnification

You agree to indemnify and hold Foamlane harmless from any claim, loss, or liability arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any law or third-party right — including, without limitation, any claim brought by one of your own customers relating to messages you sent through Foamlane.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice with at least 14 days’ notice. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Nassau County, New York, and you consent to the jurisdiction of those courts.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver of the right to do so later. These Terms are the entire agreement between you and Foamlane regarding the Service.
